Partner Program Terms and Conditions
1. Scope
(1) These General Terms and Conditions (hereinafter "T&Cs") govern participation in the partner program of Knyfe.de, Dennis Ulatowski, Silberbergweg 23, Unit 55-100, 39128 Magdeburg, Germany (hereinafter "Knyfe" or "we").
(2) The partner program is aimed at entrepreneurs within the meaning of § 14 BGB (German Civil Code) as well as natural persons acting as affiliates.
(3) Deviating conditions of the partner do not apply, unless Knyfe expressly agrees to them in writing.
2. Subject of the Contract
(1) The subject of the contract is participation in the Knyfe partner program for promoting products from the Knyfe.de online shop.
(2) The partner receives the opportunity to refer customers to the Knyfe website via individual tracking links (affiliate links).
(3) For qualified sales, the partner receives a commission in accordance with these T&Cs.
3. Registration and Conclusion of Contract
(1) Participation in the partner program requires registration in the Knyfe online shop.
(2) Knyfe reserves the right to reject registrations without stating reasons.
(3) The contract is only concluded upon express confirmation of registration by Knyfe.
4. Services provided by Knyfe
(1) Knyfe provides the partner with individual affiliate links and, if applicable, advertising materials (e.g., banners, product data).
(2) Knyfe operates a tracking system for attributing sales.
(3) The partner gains access to an overview in their customer account, where clicks, sales, and commissions can be viewed.
(4) Knyfe offers personal support within the framework of the partner program.
5. Partner's Obligations
(1) The partner undertakes to use the provided links exclusively in a legally permissible manner.
(2) Specifically prohibited are:
- Misleading or deceptive advertising
- Spam (e.g., unauthorized email advertising)
- Use of brands or domains that resemble or are confusingly similar to Knyfe
- Self-purchases or manipulative generation of commissions
(3) The partner is obliged to comply with applicable legal provisions, in particular:
- Competition law
- Data protection law (GDPR)
- Labeling requirements for advertising (e.g., "Advertising" / "Ad")
(4) The partner is solely responsible for the content of their websites and advertising measures.
6. Commission and Remuneration
(1) The partner receives a commission of:
- 5% on all sales generated by them (calculation basis: net merchandise value excluding shipping costs)
- up to 10% for individually agreed cooperations
(2) A commission is only generated for orders that have actually been placed and fully paid.
(3) Cancellations, returns, or payment defaults will be taken into account in the commission calculation and may lead to a subsequent correction.
(4) The partner's own orders are not eligible for commission.
7. Tracking and Cookie Lifetime
(1) Sales are attributed via cookies and/or comparable tracking technologies.
(2) The cookie lifetime is 30 days. If a purchase is made within this period, it will be attributed to the partner.
(3) The Knyfe tracking system is authoritative. No guarantee can be given for complete recording in case of technical problems or manipulations.
8. Commission Payout
(1) Commission payouts are made monthly at the end of the month.
(2) A minimum balance of 25,00 Euros is required.
(3) Payouts are made via bank transfer or PayPal.
(4) The partner is solely responsible for the proper tax treatment of their income.
9. Contract Term and Termination
(1) The contract is concluded for an indefinite period.
(2) Both parties can terminate the contract at any time without stating reasons.
(3) Knyfe is entitled to exclude the partner without notice in case of violations of these T&Cs or misuse of the program.
(4) Outstanding commissions will be settled after the end of the contract in accordance with these T&Cs, provided there is no violation.
10. Liability
(1) Knyfe is only liable for intent and gross negligence.
(2) For slight negligence, Knyfe is only liable for the breach of essential contractual obligations (cardinal obligations).
(3) Liability is limited to foreseeable, contract-typical damage.
(4) Liability for technical failures, tracking errors, or data loss is excluded, as far as legally permissible.
11. Data Protection
(1) Knyfe processes personal data within the framework of legal provisions, in particular the GDPR.
(2) Further information can be found in the Knyfe privacy policy.
(3) The partner also undertakes to comply with applicable data protection regulations.
12. Changes to the T&Cs
(1) Knyfe reserves the right to change these T&Cs at any time with effect for the future.
(2) Changes will be communicated to the partner in good time.
(3) If the partner does not object within 14 days, the changes are deemed accepted.
13. Final Provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The place of jurisdiction is, as far as legally permissible, the registered office of Knyfe.
(3) Should individual provisions of these T&Cs be ineffective, the effectiveness of the remaining provisions remains unaffected.
